SAEOP General Meeting
Attendance: Sign in sheet is on file with Mary Smith, SAEOP Secretary. 30 SAEOP Members were in attendance along with Olga Addae – SEA Union President, Board Members, Mary Smith, Debbi Passi, Chris McMillin-Helsel, Sue Daley, and Jenny Evans.
Agenda – Motion on the floor to approve the agenda for the April 16, 2009 general meeting – motion carried.
Minutes of the Feb 3, 2009 General Meeting – Mary Smith, SAEOP Secretary read the minutes from the February 3, 2009 meeting to the SAEOP membership. Adjustments to the minutes – Chris McMillin- Helsel was also in attendance@ the February 3, 2009 meeting and the next meeting scheduled for March 26th was cancelled. Minutes for the February Meeting are approved with the corrections.
Amendment to the Sept 18, 2008 Minutes– Chris McMillin-Helsel presented a motion to amend the September 18, 2008 minutes to show that Vera Stritzel has been appointed a member of the By-Laws Committee upon the recommendation of Chris McMillin-Helsel the bylaws chair. Motion seconded and carried.
Treasurer’s Report – No activity- report passed out to the membership. If you need to be reimbursed for anything please turn your requests into Sue Daley. Motion to approve the Treasurer’s Report. Motion 2nd and carried.
Committee Reports:
Sunshine Committee – Debbie Passi, SAEOP President– reported for the Sunshine Committee. Margaret Young broke her arm. Sue Wong had an emergency appendectomy.
Professional Development-
WAEOP – Antoinette Felder, member at large, attended the WAEOP Convention and reported that the conference was excellent.
Negotiations Update – Debbie Passi, SAEOP President reported on the negotiations.
SEA Update - Olga Addae/SEA Union President- Olga Addae, SEA Union President reported that the SEA By-laws dictate that the SEA President appoints the bargaining team.
Bargaining Unit Clarification – There are SAEOP Positions at the JSCEE that are Non –Represented. Public Employees Labor Relation will do the negotiating of the Represented and the Non-Represented.
Unfinished Business
Bylaw Amendments: Olga M. Addae- President of the Seattle Educational Association – We have a constitution, by-laws and policies and procedures but we have never had a specific By-Laws Committee. There are 10 years of motions to be incorporated into the new by-laws. SAEOP By-Laws must be aligned with the

1st Motion
Madame President, by direction of the Bylaws Committee, I move to amend
Divide the three paragraphs into two sections titled Name and Affiliation with parent organizations, and add a third section titled Other Affiliations.
The new Section 2 references
The new language in Section 3 Other Affiliations is: SAEOP will pay yearly to affiliate with the National Association of Educational Office Professionals (NAEOP) and with the Washington Association of Educational Office Professionals (WAEOP).
Purpose: To organize the article, state more clearly our relation to SEA and to place all of our affiliations in the bylaws.

2nd Motion
Madame President, by direction of the Bylaws Committee, I move to amend Article III. Membership as follows:
In Section 1, strike “three classes” and insert “four types.” Also insert “and agency shop” after “retired.”
In Section 2, at the beginning insert “Because Seattle Public Schools is a closed shop,”. After “the District,” strike “shall be eligible for active membership in this Association upon payment of dues.” And insert “pay dues or an agency shop fee to SEA, as specified in the SEA bylaws, Article II, Section 2.21c and 2.22b.”Strike the current Section 3 because it is redundant (see Article I, Section 2).
Convert Section 4 into Section 3a and Section 3b. Strike “Active membership in good standing in SAEOP shall require payment of dues.” Insert “As specified in SEA bylaws, active members are those who pay dues to SEA and who choose to be members by filling out and returning the form provided by the Seattle Education Association.”
In the new Section 3b, strike “in good standing” and insert “to participate in” before “all rights and privileges in the Seattle Education Association’s Bylaws...”
Section 5, 6 and 7 will become section 4, 5 and 6.
Insert a new Section 7: “Any employee in a SAEOP position who does not choose to become a member of SEA or who has been expelled or suspended from membership will have the agency shop type of membership. The fees for agency shop are slightly less than dues for active membership—See Article 2, SEA bylaws.”
Purpose: To more clearly define the types of membership, to specifically define an active member, and to reduce redundancy.
2nd Motion – moved by Chris McMillin-Helsel – 2nd by Sue Daley –all in favor- no questions – passed unanimously.
3rd Motion
Madame President, by direction of the Bylaws Committee, I move to amend Article IV Officers Section 1 and Section 2 as follows:
In Section 1, strike “in good standing.”
In Section 2, strike “one” in one-year term and insert “two.”
Insert: “Note: Because SAEOP needs to align the terms of its officers and members-at-large with the two-year terms of SEA officers, the Executive Board members who were elected in the spring of 2008 will serve until the next election, scheduled to be held by SEA in the spring of 2010.”
Purpose: To comply with our own Article IV Section 2: The officers shall be elected through the

4th Motion
Madame President, by direction of the Bylaws Committee, I move to amend Article IV Officers Sections 3, 4, and 5 as follows:
Move Section 3 and Section 4 to be part of Section 5 Duties of Officers, which will then become Section 3. This change is just organizing the officer duties.
Add language to Duties of Officers, President, at the end of the second paragraph. Insert, before the period, “and commissions.” Then add this language: “In the case of commissions, the SAEOP president’s appointments are advisory to the SEA President, who appoints the SAEOP representation in SEA commissions. See Article X, Section 10.21–22 SEA Bylaws.
In addition, see Article XI, Participation in Seattle Education Association, Section 1 and 2.”
Insert, after the paragraph ending “except the Nominating Committee,” a new paragraph, “The President shall appoint one of the Members-at-Large to be the WAEOP representative.”
In the duties of the Vice-President, insert the same notation as above: “In addition, see Article XI, Participation in Seattle Education Association, Section 1 and 2.”
Add the header “President and Vice President” over the paragraph about the
For the duties of the Members-at-Large: strike “major” and insert “standing” and add, before the period, “or serve as the WAEOP representative as appointed by the President.”
Purpose: To organize the duties of elected officers and board members and reflect the SEA bylaws.

5th Motion
Madame President, by direction of the Bylaws Committee, I move to amend Article VI Executive Board, Section 1 as follows:
Strike “chairpersons of Standing Committees” and insert “the Members-at-Large.”
Purpose: eliminate confusing terminology

6th Motion
Madame President, by direction of the Bylaws Committee, I move to amend Article VIII Nominations and Elections sections 2 and 3 as follows:
In Section 2, insert after “at least one” the words “active member to be a.” Strike “Each nominee for office shall be an active member in good standing.
In Section 3, insert “active” after “only” and strike “in good standing.”
Purpose: Use clear language about active members as defined in Article III Membership.
6th Motion- moved by Chris McMillin-Helsel - No need to second – no questions – passed unanimously.
7th Motion
Madame President, by direction of the Bylaws Committee, I move to amend Article XIV Amendments as follows: In the parenthetical (2/3rds), strike the “rds” as unnecessary. Insert “thirty” before (30).
Purpose: Correct usage and housekeeping

Classification Study Update- All the SAEOP jobs have to be factored by May 19, 2009 and the results will be known by May 26, 2009. If a specific SAEOP job title is not happy with the results of their re-classification then they can apply for re-classification again according to our regular procedure.
